About Spencer

Spencer's practice focuses primarily on assisting clients with general corporate and commercial matters. His experience includes working on mergers and acquisitions, commodities trading and energy derivatives agreements, carbon offset trading, joint ventures, corporate reorganizations and project development.

Spencer has obtained industry experience working in the legal departments at three leading Canadian energy production and infrastructure companies, where he provided legal advice on commercial contracting and trading matters.

Domestic and International Transactions

  • Suncor Energy Inc. on its C$1.468-billion acquisition of TotalEnergies EP Canada Ltd., which holds a 31.23% working interest in the Fort Hills oil sands mining project

  • Suncor Energy Inc. on its C$1-billion acquisition of an additional 21.3% working interest in the Fort Hills Project from Teck Resources Limited

  • Suncor Energy Inc. on the sale of its wind and solar assets for C$730-million to Canadian Utilities Limited

  • Suncor Energy Inc. on its C$688-million acquisition of an additional 14.65% working interest in the Fort Hills Project from Teck Resources Limited

  • Pembina Pipeline Corporation in its C$11.4-billion joint venture to merge Canadian natural gas processing assets with KKR

  • Pembina Pipeline Corporation on its proposed C$8.3-billion acquisition of Inter Pipeline Ltd.

  • Imperial Oil Resources Limited and ExxonMobil Canada Ltd. on the disposition of their interest in XTO Energy Canada to Whitecap Resources Inc. for C$1.9-billion

Project Development

  • Pacific Energy on the disposition of a 30% stake in the C$5.1-billion Woodfibre LNG project to Enbridge Inc. and the structuring of governance and operational agreements for the development and operation of the project

  • A household name U.S. technology company on the expansion of its services into Canada

  • Development of a major LNG project on Canada's west coast

  • Development of Alberta power generation facilities for a major Alberta power producer

Commercial Transactions, Supply and Trading

  • EDP Renewables in connection with the development of its 297 MW Sharp Hills Wind Farm, including a long-term power purchase agreement with TC Energy and other project development agreements

  • Numerous financial institutions and commodities marketing companies involved in natural gas, power and environmental credits marketing and trading

  • Methanex Corporation on its large-volume, long-term natural gas procurement and hedging programs for its G1 and G2 methanol production, storage and handling facilities at Geismar, Louisiana

  • Methanex Corporation with respect to numerous aspects pertaining to the developments of its G3 methanol production facility at Geismar, Louisiana

  • Methanex Corporation with respect to natural gas procurement and operational matters for its Medicine Hat methanol production facility

  • A Canadian-based international production company with respect to a long-term, high-volume sales agreement in South America

  • EPC and supply chain contracting matters for the development of oil and gas, midstream, electricity and renewables projects

  • A leading Canadian building product company on its long-term renewable power purchase agreement

  • Advising Canadian corporations with carbon emission compliance and carbon offset purchase and sale

Professional Activities

Spencer is a member of the Law Society of Alberta and a member of the board and vice president of the Association of Young Professionals in Energy (Calgary).
