About Stefan

Stefan’s practice focuses on mergers and acquisitions, corporate finance, corporate governance, and securities law compliance matters. His experience includes advising Canadian and foreign clients in acquisitions, business combinations, reorganizations, general commercial negotiations, public and private offerings of equity and debt.

Stefan has worked across a wide range of industries, acting for public and private companies, investment banks, private equity firms and institutional investors. He regularly acts for issuers listed on the Toronto Stock Exchange (TSX) and the TSX Venture Exchange (TSXV), among others.

Stefan was seconded to the legal department of one of the world’s largest professional services firms, focused on global engineering and consulting, where he participated in significant international transactions that created a leading global environmental consulting firm.

Stefan is fluent in English and French.

  • a strategic investor on its acquisition of a British Columbia-based device-to-cloud IoT solutions provider for approximately US$1.2-billion via plan of arrangement

  • a Canadian value retailer on its private offering of tranches of an aggregate principal amount of C$700-million senior unsecured notes, C$300-million senior unsecured notes and C$750-million senior unsecured notes

  • a global air carrier on completing a C$912-million equity offering

  • a syndicate of dealer members on completing the initial public offering of an information technology services provider on the Toronto Stock Exchange and the New York Stock Exchange

  • a North American telecommunications operator on its private offering of C$1-billion senior secured notes

  • a leading financial services provider on its acquisition of insurance distribution, mutual fund and investment dealer networks located in Canada for C$750-million; the issuance of C$430-million of floating rate medium term notes; and the issuance of C$1-billion of senior unsecured notes

  • a digital technology and software engineering consulting services provider on several acquisitions of U.S.-based strategic enterprises

  • a Quebec-based mining operator on issuing a senior secured convertible debenture to one of the world's largest globally diversified natural resource companies and amending its existing debt structure

  • a development-stage biopharmaceutical company on completing a series of restructuring transactions that included debt conversions, private placements, a share consolidation, its listing on NASDAQ and a corporate name change

  • a manufacturer of equipment used in the production, storage, and end-use of hydrocarbon and industrial gases on a global strategic acquisition for US$4.4-billion, and several acquisitions of Canadian-based strategic enterprises

  • a leading medical and recreational marijuana dispensary operator on completing a US$286-million acquisition of a Canadian-based strategic enterprise and securing a US$130-million investment from a single institutional investor

  • a Swedish multinational engineering company on its acquisition of a Canadian-based strategic enterprise

  • one of the largest fresh vegetable producers in Canada on its acquisition by a strategic private equity fund for a purchase price of C$450-million

  • a Canadian-owned insurance brokerage on its acquisition of a 70% interest of a strategic insurance broker

  • a Canadian automotive 3D detection and tracking system provider on completing an initial US$61.4-million private financing round and an additional US$10.6-million private financing round

  • a Canadian provider of protective barrier technologies on its acquisition by a strategic private equity fund

  • a growth-stage private equity fund on its acquisition of a Canadian-based security software provider

  • a sovereign wealth fund, on taking a minority position in a leading Canadian-based software-as-a-service provider before its initial public offering

  • a Canadian crown corporation on multiple investments in Quebec-based corporations

Professional Activities

Stefan is the co-founder of the Romanian Chamber of Commerce of Quebec and has acted as its director and vice-president. He is also a member of the Quebec Bar and the Young Bar of Montreal.
