  • Power Corporation of Canada and Power Financial Corporation in connection with their substantial issuer bid share buy-backs and the structuring of tenders into such share buy-backs by Power Financial Corporation and IGM Financial Inc.

  • Canadian Real Estate Investment Trust (CREIT) on its C$3.9-billion combination with Choice Properties Real Estate Investment Trust

  • Ocean Spray Cranberries, Inc. in its acquisition of Atoka Cranberries Inc. from The Bieler Group

  • Washington Companies in connection with its C$1.5-billion acquisition of Dominion Diamond Corporation, and related debt financing

  • Element Financial Corporation on its "butterfly" spin-out transaction by way of plan of arrangement pursuant to which Element separated into two new public companies: Element Fleet Management Corp. (TSX:EFN) and ECN Capital Corp. (TSX:ECN)

  • Sagard Holdings on the US$575-million acquisition of the business of Performance Sports Group Ltd.

  • IGM Financial Inc.'s subsidiary Mackenzie Investments on its acquisition of a 13.9 per cent interest in China Asset Management Co., Ltd. for C$647-million

  • TransCanada Corporation in respect of its C$4.4-billion offering of subscription receipts, the largest bought deal in Canadian history

  • UnitedHealth Group on its subsidiary OptumRx's US$12.8-billion combination with Catamaran Corporation

  • H&R REIT on frequent public offerings of debt and equity securities and on its C$2.75-billion acquisition of Primaris Retail REIT

Professional Activities

Jeffrey previously served as chair of the National Taxation Section of the Canadian Bar Association, and co-chair of the Joint Committee on Taxation of the Canadian Bar Association and Chartered Professional Accountants of Canada. He is also a member of the Fiscal and Tax Competitiveness Council of the C.D. Howe Institute, an advisor to the Board of Governors of the Canadian Tax Foundation, and the editor of the publication Perspectives on Tax Law & Policy. Jeffrey has a served as a member of the Research Committee of the Canadian Tax Foundation and the Planning Committees for the Canadian Tax Foundation’s September 2017 Policy Conference on Taxation of Private Corporations and the November 2017 Annual Conference of the Canadian Tax Foundation. Since 2015, he has co-chaired the Senior Tax Practitioner’s Institute, an invitation-only meeting of the leading senior tax practitioners in Canada, held annually in Cambridge, Ontario.

Jeffrey writes and speaks frequently in numerous venues, including the Canadian Tax Foundation, the International Fiscal Association, the American Bar Association, the Ontario Bar Association and the International Tax Review.
