About Justin

Justin practises corporate and securities law. He advises both public and private companies, as well as financial institutions, on a wide range of transactional matters, including mergers and acquisitions, public and private financings, private equity transactions and corporate reorganizations. He also provides ongoing advice to clients with respect to securities regulatory compliance, stock exchange matters and general corporate law.

Recent representative matters include advising and providing assistance to:

  • IAA, Inc. in connection with its acquisition by Ritchie Bros. Auctioneers Incorporated for US$7.3-billion

  • Sierra Wireless, Inc. in connection with its acquisition by Semtech Corporation for approximately US$1.2-billion

  • Sabina Gold & Silver Corp. in connection with its acquisition by B2Gold Corp. for approximately C$1.1-billion

  • Absolute Software Corporation in connection with its acquisition by Crosspoint Capital Partners, LP for approximately US$870-million

  • Maverix Metals Inc. in connection with its acquisition by Triple Flag Precious Metals Corp. for approximately C$700-million

  • NioCorp Developments Ltd. on its business combination with GX Acquisition Corp. II, a U.S. special purpose acquisition company, and concurrent financings valued at up to US$71.9-million

  • National Veterinary Associates Inc. on its acquisition of a number of Canadian veterinary practices
