About Vivek

Vivek specializes in the structuring, negotiation and documentation of natural resource projects and related financings and in domestic and cross-border mergers and acquisitions in the oil, gas, water and power sectors.

He has considerable experience in regulated electricity markets and has acted for numerous clients in the development, operation and acquisition of independent power projects, including those involving renewable energy sources.

Vivek has also acted for sponsors, developers, offtakers and service providers in a range of natural resource projects. In the oil and gas sector, Vivek has led transactions involving onshore and offshore petroleum development and has extensive experience across the LNG value chain, having acted for developers of liquefaction facilities, LNG buyers and sellers, and in connection with regasification terminal capacity rights.

Vivek previously practised at a leading English law firm in its London and Tokyo offices and has considerable international experience in Europe, the Middle East, Southeast Asia and the Far East.

Mergers and Acquisitions

  • Capital Power on its C$340-million sale of a 49% interest in a 246 MW wind portfolio consisting to Axium Infrastructure, consisting of Quality Wind facility in British Columbia and Port Dover and Nanticoke Wind facility in Ontario

  • Enbridge on its acquisition of a 24.45% interest in German offshore wind farms Hohe See and Albatross from CPPIB with an aggregate deal value of €625-million

  • Parkland Corporation on its C$115-million sale of its Canadian commercial propane business to Avenir Energy Ltd. and to its exclusive agreement to supply propane to Avenir Energy Ltd.

  • Parkland Corporation on its acquisition of 163 Husky and Essor retail locations across Canada

  • Enbridge on the sale of a 49% interest in a portfolio of offshore French windfarms to CPPIB

  • AIMCo, HOOP and IMCO on their collective A$10.2-billion acquisition of AusNet Services Ltd. 

  • IMCO on its sale of its interest in Viesgo Infraestructures, a Spanish electricity distributor and generator, to Macquarie Infrastructure and Real Assets

  • Atura Power on its C$2.8-billion acquisition of an 1,858 MW portfolio of combined-cycle natural gas-fired power plants in Ontario from TC Energy, consisting of Napanee Generating Station, Halton Hills Generating Station and Portlands Energy Centre

  • OPG on its acquisition of a 50% interest in Brighton Beach Generation Station, a 560MW combined-cycle natural gas-fired facility, from Canadian Utilities Limited

  • Enbridge on its C$1.75-billion sale of a 49% in a portfolio of renewable power assets in North America and Europe to CPPIB

  • Capital Power on its C$216-million sale of a minority interest in the K2 Wind project, a 270MW wind generation facility in Ontario, to Axium Infrastructure

  • Capital Power on its acquisition of 284 MW of natural gas-fired power assets in Ontario consisting of East Windsor Cogeneration Centre and York Energy Centre and 10MW of zero-emissions waste heat generation facilities in British Columbia  

  • Capital Power Income L.P. on its C$1.1-billion sale to Atlantic Power Corporation

  • Andean Resources on its C$3.6-billion sale to Goldcorp Inc.

Project Development

  • Various proponents in connection with commercial agreements involving Indigenous groups, including joint venture, partnership, funding and impact benefit agreements  

  • Various proponents in connection with the IESO’s Expended Long-Term, Long-Term 1 and Long-Term 2 procurements, including with respect to battery energy storage systems and natural gas projects

  • Enbridge in connection with the strategic restructuring of Maple Power Ltd, a joint-venture vehicle between Enbridge and CPPIB, focused on developing and constructing offshore wind projects in France

  • Atura Power with respect to its 250 MW battery energy storage project, including with respect to joint venture structuring, financing, construction and regulatory matters

  • Various developers of LNG liquification facilities and buyers and sellers of LNG, including in connection with regasification terminal capacity rights

  • National Bank as underwriter, lead arranger, administrative agent and collateral agent for a syndicate of lenders providing credit facilities for the development, construction, operation and ownership of LunarLight, a 10 MW solar project in Ontario

  • National Bank as administrative agent and lender in connection with the C$75-million project financing for the development, construction, operation and ownership of Bull Creek Wind, a 29.2 MW wind project in Alberta

  • SkyPower Global on its US$1.3-billion investment in photovoltaic solar energy facilities in Uzbekistan.

  • MUFG, Union Bank and SMBC on a C$121-million project financing in connection with the development, construction, operation and ownership of a 40 MW wind power energy facility of Grand Valley 2 Limited Partnership in Ontario

  • National Bank as administrative agent and lender in connection with the C$215-million project financing for the development, construction, and commissioning of a 38.5 MW portfolio of solar projects in Ontario

  • Royal Bank as administrative agent and lender in connection with a C$420-million refinancing for St. Clair Energy Centre, a 584 MW combined cycle natural gas-fired energy generation facility on Ontario

  • RES Canada on its application for designation in the Ontario Energy Board’s East-West Tie Procurement
