About Zackary

Zackary's practice focuses on corporate and securities litigation. He has experience with shareholder disputes, proxy contests, contested M&A transactions, class actions, and other complex commercial litigation matters. He also acts for clients in internal and government investigations, regulatory matters, and appeals.

Zackary began his litigation practice after clerking for Justice Nicholas Kasirer at the Supreme Court of Canada. After his clerkship, he practised at a leading law firm in New York City, where he focused on high-profile securities litigation and investigations.

Zackary has achieved successful outcomes in a range of high-stakes matters. Recently, he was part of a team at Blakes that successfully defended a client before the British Columbia Securities Commission in a hard-fought proxy contest involving allegations of entrenchment. Before joining Blakes, he was part of a team that secured victories in a major securities class action in the United States, including a landmark decision that protected privilege in internal investigations and another that vacated class certification. He was also part of a team that obtained court approval for a complex plan of arrangement recognized as the M&A Deal of the Year at the 2023 Canadian Law Awards.

Zackary is fluent in English and French.

Zackary’s experience includes:

Securities Litigation 

  • Defending against allegations of entrenchment and defensive tactics in a proxy contest before the British Columbia Securities Commission

  • Defending companies, underwriters and individual defendants in primary and secondary market misrepresentation class actions in British Columbia and Ontario

  • Defending a major Ohio-based electric utility in a securities class action and related regulatory proceedings in the United States

M&A and Governance Litigation

  • Obtaining court approval for routine and contested plans of arrangement

  • Acting for companies and shareholders in governance disputes, including through successful out-of-court negotiations and confidential arbitrations

  • Acting for purchasers and targets in post-transaction litigation and arbitrations

General Commercial Litigation 

  • Acting for plaintiffs and defendants in breach of contract, breach of fiduciary duty, partnership, and other commercial disputes

Pro Bono

  • Acting for a single parent in obtaining an upward adjustment of child and spousal support in New York

  • Acting for a tenant in a wrongful eviction matter before the Ontario Landlord and Tenant Board
