About Andrew

Andrew's practice focuses on mergers and acquisitions and a range of capital markets transactions, including financings, public offerings, and private placements of securities. He also advises clients on corporate governance and securities regulatory matters, including the continuous disclosure obligations of public issuers.

Andrew joined Blakes as a first-year Summer Student in 2021 and completed his articles with the Firm in 2023/2024.

Mergers & Acquisitions

  • Barrick Mining Corporation on the US$1.09-billion sale of the Hemlo Gold Mine to Carcetti Capital Corp.

  • The special committee of First National Financial Corporation, one of Canada's largest non-bank mortgage originators and underwriters, in connection with the acquisition of the company by Birch Hill Equity Partners Management Inc. and private equity funds managed by Brookfield Asset Management, together with the participation by First National’s controlling stakeholders, in a transaction valuing the equity of First National at C$2.9-billion

  • Advent International on its US$6.3-billion acquisition of Nuvei Corporation, a Canadian fintech payment platform

  • CC Capital on its US$250-million investment in The Westaim Corp. (TSXV:WED) and strategic combination for the creation of a new integrated insurance and asset management platform

Capital Markets

  • The underwriters in connection with multiple offerings of Canadian dollar high-yield notes by Top Aces Inc.

  • The agent in connection with the offering of senior unsecured debentures by Enova Power Corp.

Private Equity

  • Motive Partners on its strategic investment in Intelliware Holdings (d/b/a Electric Mind)
