About Felicia Yifan

Felicia’s practice focuses on regulatory compliance for federally and provincially regulated financial institutions, including Canadian and foreign banks, insurance companies, credit unions, money services businesses, payment services providers, and commercial and consumer finance companies.

Her work covers the application and interpretation of financial sector legislation governing insurance, lending, deposit taking, payment services, and other financial products and services, with a particular emphasis on compliance and consumer protection. Felicia provides legal opinions assessing how regulatory requirements apply to clients’ operations and products, including advising on applicable sanctions and penalties in cases of non-compliance.

Felicia regularly supports lenders, money services businesses, and fintech and insurtech companies in the development and implementation of new business models and in navigating existing and emerging regulatory regimes, including those relating to cryptocurrencies and other virtual assets and the implementation of open banking in Canada. Her experience includes assisting with the registration and licensing of regulated entities, preparing applications and liaising with regulators to ensure compliance with applicable supervisory requirements.

In addition, Felicia drafts and negotiates commercial agreements tailored to clients’ regulatory environment and advises on mergers and acquisitions involving regulated financial services entities, including regulatory approvals, market consolidation considerations, and structuring transactions and due diligence processes to address regulatory risk.

Felicia is fluent in English, French and Mandarin.

  • Private equity firms, financial institutions and other strategic acquirers on the acquisition of insurance brokerages and other intermediaries, and advising on provincial licensing and market conduct requirements

  • Insurance intermediaries and trust companies on provincial licensing and market conduct requirements

  • Consumer and commercial lenders on compliance with provincial licensing and consumer protection requirements

  • Financial institutions and FinTechs in the negotiation of commercial agreements for the distribution of various financial products, including insurance policies, prepaid cards and credit cards, as well as for the establishment of card programs and loyalty programs in compliance with federal and provincial regulations

  • Money services businesses and reporting entities on their registration under the Proceeds of Crime (Money Laundering) and Terrorist Financing Act and their compliance with ongoing requirements

  • Payment services providers on their registration and re-registration under the Retail Payment Activities Act, and compliance with ongoing requirements
