About Mike

Mike's practice focuses on mergers and acquisitions, divestitures, private equity investments, and corporate reorganizations. He has assisted domestic and international clients in a wide range of industries, including agribusiness, food production and distribution, construction, transportation, consumer goods, information technology, real estate, and retail.

Mike often acts for private, family-owned companies on transition planning, including dispositions, minority or majority third party investments, and reorganizations. Mike also has substantial experience with private equity funds, managers, sponsors, pension funds and other institutional investors.

Mike is one of the co-chairs of the Firm's Food, Beverage & Agribusiness group and regularly acts for food and beverage companies on acquisitions, dispositions and general commercial matters.

Mike's representative transactions include advising:

  • The shareholders of Soul Foods Group on a strategic investment by Centrebridge Partners, Metric Capital Partners and OpCapita LLP

  • Canadian Counsel to Nestlé S.A. on the sale of Nestlé Waters North America to One Rock Capital Partners and Metropoulos & Co.

  • Viad Corp on multiple transactions, including the purchase of FlyOver Canada and the acquisition of a majority interest in Mountain Park Lodges

  • Structuring and formation of pooled fund investment vehicles for pension funds and other institutional investors, including Starlight Properties and BentallGreenOak

  • Everest Clinical Research, a leading Canadian contract research organization, on the sale of a majority interest to Arlington Capital

  • The shareholders of Onyx-Fire Protection Services to TorQuest Partners, one of Canada's largest private equity funds

  • Deep Foundations Contractors, a leading Canadian piling and shoring contactor, on its sale to GFL Environmental

  • The shareholders of Voltage Power, a leading Canadian electrical transmission and substation contractor, on their sale to Aecon Construction
  • The shareholders of Ram Forest Group, on the sale of its pressure treated lumber business to Stella-Jones Inc.

Mike is recognized as a leading lawyer in The Canadian Legal Lexpert Directory (2023: Corporate Mid-Market; and 2022: Corporate Mid-Market and Corporate Commercial Law).

Professional Activities

Mike is committed to participating in legal education and often leads seminars and lectures on various aspects of business law, including client service, corporate governance and the drafting of transaction documents.

He is a former member of the Firm's Partnership Committee and Legal Personnel Committee and has been responsible for creating legal education programs for the Firm's associates, articling students and summer students.

Mike is also active in the Firm's pro bono initiatives and works closely with, and provides legal advice to, Habitat for Humanity Canada and its affiliates.
